The Principles of Good Corporate Governance

The Company organized a session on the principles of good corporate governance (CG) and the Code of Conduct for all of Banpu’s new employees as part of its employee orientation.

CG Safeguards” Internal Communication

In 2023, The company has organized communication activities to promote corporate culture and corporate governance attitudes under the concept of “CG Safeguards”

CG Storytelling Contest: Every Story Needs to Be Told

A writing contest to gain employees’ engagement through CG best practices by sharing their impressions with their colleagues who act as a role model for CG best practices. Top three winners of their stories will be developed into a video clip and sharing on CG Day.


4.

“CG focus” article in the Company’s journal

Articles in “Banpu Synergy E-Magazine”, the company’s quarterly internal electronic journal which is distributed to all countries that the Company has invested in. The articles are related to corporate governance best practices in the organization and news about the progress of corporate governance in order to create understanding and make all employees aware of the importance of corporate governance.

CG Day 2023

The event was held on October 17, 2023, CG Day is an annual event to raise awareness among employees and encourage engagement on CG best practices and Code of Conduct into Corporate Culture This year staff shared their impression through CG stories related to “integrity” and CG Policy and Code of Conduct

Corruption risk assessment

In 2023,the Company conducted the 2023 annual assessment of corruption risk and established preventive measures, covering all businesses in every country where it has invested, including its subsidiaries and joint ventures. The results were reported to the Risk Management Committee. Moreover, the Company continually communicated and informed its employees of relevant policies and practices to combat corruption, such as the Corporate Governance Policy, the Code of Conduct, and the Standard Practice Manual for Accepting and Offering of Gifts, Hospitality, or Other Similar Forms of Reward. Employees can access the policies through internal communication channels. In the past year, letters were sent out to directors, executives, and employees to request adherence to the No Gift Policy.

The Company gathered CG issues and questions to be used as case studies for communication with employees in the forms of video clips and infographics for a clear and accurate understanding.

CG of the Month Column in Banpu Synergy E-Magazine

This column in Banpu Synergy E-Magazine discusses CG trends and directions in Thailand. The internal e-magazine is published online and accessible to Banpu’s employees in every country where Banpu has invested.

CG Day 2022

“CG Day” is an annual event to promote and develop awareness of the importance of ethical business conduct and commitment to integrity among employees at all levels. In 2022, the Company organized a CG quiz competition, participated by three teams, to measure how much employees understand the CG principles and practice them in their jobs.

Evaluating understanding of CG through CG E-learning and CG E-testing platforms

Corporate Governance Division joined hands with Banpu Academy in developing the CG E-learning and E-testing platforms for measuring employees’ understanding of CG. The e-learning LMS platform “B SUCCESS” is also used to enhance knowledge and promote practices of the CG Policy and Code of Conduct.

The Company regularly organized an orientation session on the principles of good corporate governance and the Code of Conduct for new employees in every country.

Conduct an internal communication under the theme “CG Be My Guest”

Communication activities under the theme “CG Be My Guest” were organized through internal emails and video podcasts “Friday Morning News”, a weekly program communicating news and interesting corporate events, by inviting executives and employees to share their experiences of exercising corporate governance principles in their work. It also presented corporate governance case studies to employees and allowed them to join quizzes on related topics to encourage two-way communications. These aimed to provide employees with knowledge and understanding of corporate governance principles and be a preventive guideline for employees not to breach the Corporate Governance Policy and Code of Conduct.


3.

Publish articles under CG of the Month column in Banpu Synergy

The articles under CG of the Month column provided corporate governance trends and directions in Thailand. They were published in Banpu Synergy, an internal electronic journal, distributed to Banpu’s subsidiaries in every country where the Company operates.


4.

Arrange 2021 CG Day activity

The 2021 CG Day activity was organized annually to promote and embed all employees to be aware of the importance of conducting business ethically as well as adhering to integrity. In this year, the Corporate Governance Department invited Mr.Chanin Vongkusolkit, Chairman of the Board of Directors of Banpu Public Company Limited to share his point of view in the topic of “CG and organization driving under the Covid-19 pandemic situation”. In addition, employees were invited to join the infographic design contest to promote an understanding and exercising of corporate governance principles, anti-corruption policy and whistleblower policy.

Communicate policies and guidelines related to corporate governance

In 2021, the Company reviewed policies and guidelines according to the changing of business direction, social conditions, regulations, standards, and risks. The Company has revised the policies such as,

  • Corporate Governance Policy in the topic of holding directorship position in other company of chief executive officer.
  • Code of conduct in the topic of blackout period of securities trading and securities holding report of the board of directors and executives.
  • Anti-corruption policy

The Company communicated the changes in such policies to directors, executives and employees throughout the organization including all stakeholders as a guideline for practice.

The Company managed a corruption risk assessment and preventive guidelines for 2021 by conducting a comprehensive business risk assessment in every country the Company operates in both subsidiary and joint venture companies

Awake Your CG

The “Awake Your CG” was organized as a means of internal communication, featuring case studies from news about violations of the CG and Anti-Corruption Policies and their impacts. The communication channels are through the PA system every Friday morning in the news talk program and via email to educate employees about corporate governance principles and to prevent them from violating the CG Policy and the Code of Conduct.

Corporate Governance Update

The Company published articles on corporate governance trends and directions in Thailand and ASEAN countries in the “Corporate Governance Update” column in a quarterly Banpu e-Bulletin, a digital communication channel, distributed to Banpu’s subsidiaries in all host countries. The articles published under this column aim to create an understanding as well as awareness of corporate governance among employees. The topics presented in the past year were:

• ESG: Environment, Social and Governance
• ESG in COVID Action Plan from Thailand Responsible Business Network (TRBN)
• CG Report 2020


4.

CG Day

The “CG Day” activity was organized to raise awareness among employees at all levels about the importance of the Code of Conduct and commitment to integrity. In the 2020 event, the CG division held a sharing session, “Awake Your CG” by Mr. Chanit Suwanparin, SVP – Electric Vehicle of Banpu NEXT, who shared his work experience to raise employees’ awareness of corporate governance and make them realize the importance of good corporate governance and anti-corruption.

CG: Switch It On

Internally communicated through e-mails subjected “CG: Switch It On”, aiming to communicate about corporate governance best practices and inculcate directors, excutives and staff with an awareness to comply with the Code of Conduct with the belief that anyone can be a role model in corporate governance.


3.

Launch New CG Policy and Code of Conduct

Held a “CG Switch It On – Launch New CG Policy and Code of Conduct” event, aiming to communicate to employees new CG policy and Code of Conduct 2018 which the Company’s Board of Directors approved the revision of the essence of CG policy and Code of Conduct to be in line with The Securities and Exchange Commission’s Corporate Governance Code for Listed Companies in 2017.

Published articles "Banpu CG" in Banpu e-Bulletin

Published articles on corporate governance trends and directions of Thailand and ASEAN countries in the column “Banpu CG” in Banpu e-Bulletin – a quarterly internal e-newsletter distributed to Banpu’s subsidiaries in every country where it has business operations. It aims to create understanding and raise awareness among employees about the importance of the corporate governance. The topics presented were:

• New CG Policy and Code of Conduct 2018
• CG Rolls Out 3 New Formats of PR Materials for the Updated CG Policy and Code of Conduct
• Corporate Governance Report of Thai Listed Companies 2019


5.

Organized “CG Day”

Organized “CG Day” under the theme “CG Switch It On” – an activity to raise awareness among employees about the importance of the Code of Conduct and commitment to integrity. One of the highlight activities was “You Wonder, We Answer” which gave an opportunity to employees to ask questions about practice guidelines of the Company’s CG policy and Code of Conduct provided with the answers from all related departments in order to encourage employees to behave according to the same standard.


6.

Joining Forces against Corruption

On 6 September 2019, the executives and staff of Banpu Public Company Limited and Banpu Power Public Company Limited, as members of Private Sector Collective Action Coalition against Corruption (CAC), joined Anti-corruption Day 2019 under the theme “Joining Forces against Corruption” with an aim to express their commitment to tackle all forms of corruption with adherence to good corporate governance, the Code of Conduct as well as Anti-Corruption Policy and practices. The event was held by Anti-corruption Organization of Thailand at Bangkok International Trade and Exhibition Centre (BITEC).


7.

The Corporate Governance Division supports No Gift Policy

The Corporate Governance Division of Banpu Public Company Limited supports No Gift Policy to comply with Anti-Corruption Policy and to promote company-wide best practices for receiving and reporting gifts. The Division has donated gifts given to departments, divisions or individual employees on various occasions, which could not be returned to any giver, to three Banpu’s partnering schools under a Leadership Program for Sustainable Education (CONNEXT ED), namely Non Sa-at Phitthaya School, Khon Kaen; Phon Ngam Phon Sawang Community School, Maha Sarakham; and Rong Kham Hong Thong Witthaya, Roi Et.
